ETHICAL BUSINESS CONDUCT POLICY – ThaiLine Resources

• ThaiLine Resources will comply the ethical business conduct with the laws of Thailand or the country it is working in.
• Any employee must not engage in any transaction or activity which could reasonably be perceived as a conflict between the personal interest of the employee and the interests of the company, nor are employees allowed to engage in any actual or perceived conflicts of interest which would detract from the integrity of the company.
• ThaiLine Resources will comply the ethical business conduct with the laws of Thailand or the country it is working in.

CONFLICTS OF INTEREST

• In general, conflicts of interest arise when an individual’s private, personal interests conflict with the interests of ThaiLine Resources. Conflicts of interest are not always obvious and they can arise in many ways.
• The following activities are considered to be ethical business conduct or conflicts of interest and are hereby prohibited
  • No employee or his immediate family/close associates should have an interest, directly or indirectly, in an organization or company which is considered a competitor of ThaiLine Resources.
  • No employee should derive any personal financial gain or place business with any organization in which their immediate family/close associates have a direct or indirect financial interest nor should employees solicit, offer, accept or conduct any activities that could be construed as conflicting with the interests of ThaiLine Resources.
  • No employee or member of his/her immediate family is to benefit personally from any purchase of goods or services of whatever nature by ThaiLine Resources or to derive personal gain from actions taken or associations made in his/her capacity as an employee of ThaiLine Resources.
  • No employee should reveal any information which is confidential or sensitive to a third party nor are employees allowed to obtain any information for personal use unless approved by ThaiLine Resources.
  • An employee must not use or permit others to use ThaiLine Resources materials, or equipment improperly for personal purposes unless approved by ThaiLine Resources.
  • An employee must refrain from gaining business or financial opportunity which the employee knows or could anticipate that ThaiLine Resources is interested in pursuing.
  • Gifts and entertainment will be consistent with accepted good business practice and customs which will avoid any implication that they are part of those goods or services will be purchase.
  • Accepting gifts or benefits from outside sources, regardless of the intent, should be avoided unless informed otherwise by ThaiLine Resources.
  • Each employee having the authority to effect financial transactions on behalf of ThaiLine Resources shall truly represent the purpose of the payment and shall be supported by appropriate documentation.

นโยบายด้านการดำเนินธุรกิจด้วยจริยธรรม – บริษัทไทยไลน์ รีซอสเซส

• กลุ่มบริษัทไทยไลน์ รีซอสเซส ยินยอมปฏิบัติตามกฎหมายทางด้านจริยธรรมทางธุรกิจที่ใช้อยู่ในประเทศไทยหรือของประเทศอื่นๆ ที่บริษัทกำลังทำงานอยู่ที่นั้น
• ไม่มีพนักงานของบริษัทคนใดเข้าไปมีส่วนในการดำเนินงานที่ทำให้เกิดความขัดแย้งทางผลประโยชน์ส่วนตัวกับผลประโยชน์ของกลุ่ม บริษัทไทยไลน์ รีซอสเซส หรือกระทำในสิ่งที่จะแสดงถึงสิ่งที่มิชอบต่อความซื่อสัตย์ของกลุ่มบริษัทไทยไลน์ รีซอสเซส

ความขัดแย้งทางผลประโยชน์ส่วนตัว

• โดยทั่วไปแล้วความขัดแย้งทางผลประโยชน์ส่วนตัวและส่วนรวม ที่อาจส่งผลกระทบต่อกลุ่มบริษัทไทยไลน์ รีซอสเซส นั้น คือกิจกรรมหรือผลประโยชน์ส่วนตัวที่ไม่สอดคล้องหรือตรงข้ามกันกับผลประโยชน์สูงสุด ที่ถูกต้องตามกฎหมายของกลุ่มบริษัทไทยไลน์ รีซอสเซส. บริษัท คาดหวังว่า พนักงานของบริษัทจะแยกแยะผลประโยชน์ออกจากผลประโยชน์ขององค์กรอย่างเด็ดขาด ในทางปฏิบัติคงไม่ สามารถจะแสดงรายการกิจกรรมต่างๆ ว่าเป็นความขัดแย้งกับ ผลประโยชน์ของกลุ่มบริษัทไทยไลน์ รีซอสเซส ได้หมด อย่างไรก็ดี ตัวอย่างด้านล่างนี้คือด้านกิจกรรมต่างๆให้ทราบเป็นแนวทาง
  • ไม่มีพนักงานหรือสมาชิกครอบครัวคนใด มีส่วนร่วมในผลประโยชน์ส่วนตัวทั้งโดยตรงหรือโดยอ้อม, ในองค์กรใดๆ ที่เป็นคู่แข่งขันกับ กลุ่มบริษัทไทยไลน์ รีซอสเซส หรือกำลังมีหรือได้รู้จัก ติดต่อกับคู่ค้า,ลูกค้า, ผู้ให้เช่า, หรือผู้เช่า ที่มีโอกาสจะทำงาน ร่วมกันในอนาคตของ กลุ่มบริษัทไทยไลน์ รีซอสเซส ยกเว้นได้รับการอนุมัติจากคณะกรรมการ
  • ไม่มีพนักงานคนใดแสวงหาหรือรับข้อเสนอหรือยื่นข้อเสนอเกี่ยวกับบริการ ต่างๆ, การจ่ายค่าเลี้ยงรับรองที่แพงเกินจริง, ของขวัญใดๆที่มีมูลค่ามากกว่าเกณฑ์ปกติ, หรือของขวัญที่เป็นเงินในทุกจำนวน จากบุคคลใดๆ, พันธมิตร, สมาพันธ์, องค์กร, หรือสถาบันการเงิน ธุรกิจ, หรือตัวแทนใดๆ ที่กำลังทำธุรกิจอยู่ด้วยหรือกำลังจะทำธุรกิจกับ กลุ่มบริษัทไทยไลน์ รีซอสเซส ไม่ว่าทางตรงหรือทางอ้อม ยกเว้นได้รับการอนุมัติจากบริษัท
  • ไม่มีพนักงานหรือสมาชิกครอบครัวคนใดเข้าไปมีส่วนเกี่ยวข้องหรือได้รับผลประโยชน์ส่วนตัวจากการจัดซื้อสินค้า หรือบริการให้กับ กลุ่มบริษัทไทยไลน์ รีซอสเซส ไม่ว่าในรูปแบบใดก็ตาม หรือเข้าไปกระทำการหรือมีส่วนร่วมกระทำการ เพื่อให้ได้รับสิทธิประโยชน์ ส่วนตัวเนื่องจากการเป็นลูกจ้างของกลุ่มบริษัทไทยไลน์ รีซอสเซส
  • ไม่มีพนักงานคนใดสามารถใช้หรือเปิดเผยรายละเอียดด้านผลิตภัณฑ์ที่เป็นความลับ, ข้อมูลใช้เพื่อการตัดสินใจต่างๆ, แผนงานต่างๆ, หรือ รายละเอียดใดๆ ที่เกี่ยวข้องกับกลุ่มบริษัทไทยไลน์ รีซอสเซสโดยปราศจากการได้รับสิทธิ์อำนาจที่เหมาะสม
  • ไม่มีพนักงานคนใดสามารถใช้หรืออนุญาตให้ผู้อื่นมาใช้ ลูกจ้าง, วัสดุต่างๆ, หรืออุปกรณ์ต่างๆ ของกลุ่มบริษัทไทยไลน์ รีซอสเซส ด้วยความไม่เหมาะสมเพื่อวัตถุประสงค์ส่วนตัว ยกเว้นได้รับการอนุมัติจากบริษัทไทยไลน์ รีซอสเซส
  • ไม่มีพนักงานคนใด นำโอกาสทางธุรกิจหรือโอกาสทางการเงินที่พนักงานรู้หรือทราบว่าจะเกิดขึ้นในอนาคต มาใช้เพื่อสร้างผลประโยชน์ ให้แก่ตนเอง หรือสถาบันธุรกิจที่มีผลประโยชน์ร่วมกันกับ บริษัทไทยไลน์ รีซอสเซส
  • ของขวัญและการเลี้ยงรับรอง จะต้องเป็นสิ่งที่สอดคล้องตามแนวปฏิบัติและธรรมเนียมของธุรกิจที่ดีที่เป็นที่ยอมรับกัน ของขวัญและการ เลี้ยงรับรอง โดยปกติแล้วต้องไม่เกี่ยวข้องหรือมีนัยสำคัญใดๆที่ทำให้เกิด ความเข้าใจ ว่ากลุ่มบริษัทไทยไลน์ รีซอสเซส จะซื้อสินค้าหรือ บริการดังกล่าว
  • พนักงานแต่ละคนต้องเข้ามามีส่วนร่วมในการทำให้ธุรกรรมทางการเงินของบริษัทดำเนินไปอย่างยุติธรรมและตรงตามความจริง รวมถึงถูก ต้องตรงตามวัตถุประสงค์ของการจ่าย ทุกๆ รายการในรายงานด้านค่าใช้จ่ายของบริษัท จะต้องเผยถึงจุดประสงค์ของรายการค่าใช้จ่าย ที่เกิดขึ้นด้วยเนื้อความครบถ้วนและถูกต้อง จะต้อง ดำเนินไปอย่างเหมาะสมและมีเอกสารรับรองอย่างถูกต้อง
